Roots acquisition: Marquee Brands to expand Canadian retailer globally

Canadian apparel retailer Roots Corporation (Roots) has announced that its shareholders voted overwhelmingly in favour of a special resolution approving its plan of arrangement with US brand management firm Marquee Brands.

Under the arrangement of the Canada Business Corporations Act, Marquee Brands will acquire all outstanding common shares of Roots through strategic operating partner JM&A Design & Development Inc. for 4.10 Canadian dollars (2.89 dollars) per share in cash.

Operational expansion and licensing strategy

Following the completion of the transaction, Marquee Brands will utilise JM&A, founded by Club Monaco creator Joe Mimran, to handle the development, manufacturing, and distribution of Roots apparel across Canadian and US retail stores.

Marquee Brands, which manages brand portfolios including Martha Stewart, Laura Ashley, and Roberto Cavalli, plans to leverage its global infrastructure to expand the Canadian lifestyle label into new international markets, including Korea, India, and Mexico.

Regulatory milestones and court approval

Approval required double voting thresholds under Canadian securities regulations: at least two-thirds of votes cast by all shareholders present virtually or by proxy, as well as a majority vote excluding interested entities specified under section 8.1(2) of Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions. Both thresholds were met during the special meeting.

Alongside shareholder support, Roots confirmed receipt of a no-action letter from the Interim Commissioner of Competition. The letter satisfies the regulatory approval condition under the Competition Act (Canada) required by the arrangement agreement dated August 20, 2026.

The transaction remains subject to customary closing conditions, including a final order by the Ontario Superior Court of Justice Commercial List. A court hearing is scheduled for October 15, 2026.
