Spinnova seeks dual listing on Nasdaq capital market
Finnish materials technology company Spinnova has publicly filed a registration statement on Form F-1 with the US Securities and Exchange Commission (SEC). The filing relates to a proposed initial public offering (IPO) of equity securities in the US and a dual listing on the Nasdaq Capital Market.
The announcement follows a previous disclosure published on August 13, 2026, outlining intention to pursue a dual listing alongside existing trading on Nasdaq First North Growth Market Finland. The targeted gross proceeds to be raised through the offering are preliminarily set at a minimum of 15 million dollars.
Dual listing targeted to expand international investor base
Purpose of the contemplated offering is to broaden investor reach and secure direct access to US capital markets. Subject to completion, net proceeds will support the operational scale-up of the Eteläportti demo facility, advance technology commercialisation, and cover general corporate purposes. The transaction is expected to occur during September or October 2026, subject to market conditions.
“We have spent more than a decade developing a fundamentally different approach to textile fibre production by creating a fibre with a natural look and feel from wood and waste through a purely mechanical process without harmful chemicals or dissolving,” says Spinnova chief executive officer, Janne Poranen.
“Today, our technology has advanced beyond research and development, enabling commercial products made with SPINNOVA® fibre in collaboration with global brands including Adidas, ECCO, and BESTSELLER group’s brands,” Poranen added.
Shareholder approval and financial calendar milestones
Issuance of new equity securities will result in dilution for existing shareholders, dependent on final size and valuation. Existing equity will continue trading on Nasdaq First North Growth Market Finland under ticker symbol SPINN.
Board of directors plans to convene an Extraordinary General Meeting (EGM) in late September 2026 to seek share issuance authorisations. Completion remains contingent upon shareholder approval, board resolutions, SEC registration effectiveness, and Nasdaq listing approval.
The company is observing a silent period ahead of publishing half-year (H1) 2026 financial results on August 31, 2026.
